Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ValleyStats (the “Service”), operated by ValleyStats (“ValleyStats,” “we,” “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

ValleyStats lets subscribed real estate agents (“Agents,” “you”) generate branded market statistics reports from listing data sourced from the Intermountain MLS (IMLS). Reports are generated from data uploaded periodically and may not reflect real-time market conditions.

2. Accounts and Subscriptions

  • You must provide accurate account information and are responsible for activity under your account.
  • Paid plans are billed in advance on a recurring monthly basis via Stripe and renew automatically until cancelled.
  • You may cancel at any time from the Billing page; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
  • We may suspend or terminate accounts for non-payment or violation of these Terms.

3. Data Accuracy

Market statistics are derived from IMLS data and are deemed reliable but not guaranteed. ValleyStats does not independently verify listing data and is not responsible for errors, omissions, or delays in the underlying data. Reports are provided for informational purposes only and do not constitute financial, investment, or appraisal advice.

4. Your Content

You retain ownership of content you upload (headshot, brokerage logo, profile details, custom report text). By uploading it, you grant ValleyStats a license to display it back to you within reports and PDFs you generate. You represent that you have the right to use any image or content you upload.

5. Acceptable Use

You agree not to:

  • Scrape, crawl, or systematically extract data or content from the Service by automated means;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service;
  • Resell, sublicense, or redistribute generated reports or underlying data as a standalone product or dataset;
  • Share your account credentials with, or generate reports on behalf of, anyone outside your own brokerage's permitted plan seats;
  • Use the Service in any way that violates applicable law or infringes others' rights.

6. Intellectual Property

The Service, including its software, design, and report templates, is owned by ValleyStats and protected by copyright and other laws. These Terms do not grant you any rights to ValleyStats’ trademarks, branding, or underlying technology beyond the limited right to use the Service as intended.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALLEYSTATS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for violation of these Terms or non-payment, with or without notice.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
